Job Description:
- Representing IT principles, practices, and values in IT transactions with 3rd parties via drafting, reviewing, editing legal documents.
- Managing risk to company and IT through effective negotiations with 3rd parties in IT transactions.
- Managing complex IT transaction projects with 3rd parties to achieve required deadlines.
- Participating in cross-functional teams formed to ensure that business objectives and requirements are met with a given transaction.
- Ensuring effective ongoing relationships with 3rd parties with whom there are existing transactions (licenses, agreements, regulatory).
- Participate in IT Vendor Relationship Management activities
- contributing to and managing an IT center of excellence for vendor management (framework, tools, practices, learning resources for IT professionals),
- establishing contract management for key IT contracts, including processes for governance and on-going monitoring of and feedback related to vendor performance
- Guide development of relationships with new vendors to deliver win-win outcomes supporting company's long-term IT strategy.
- Consulting to business partners on proposed or completed transactions in order to aid their decision making and risk assessment.
- Providing proactive decision making information for contracts and other related legal documents.
Skills Required:
- Demonstrated experience with drafting IT technology contracts
- Demonstrated experience with negotiating IT technology contracts
- Demonstrated experience managing relationships with information technology 3rd party vendors
- Communication - translating legal risk stemming from IT activities into business risk.

Experience Required:
- Demonstrated experience servicing clients in various IT transactions
- Information technology industry experience
Experience Preferred:
- Requires unique combination of competency in IT, law, and general business.
- Key role in numerous types of transactions (services, hardware, software, data) resulting in a required breadth of competence leading to customized services for each client.
- Multiple projects to manage simultaneously each with critical deadlines.
-Requires management of cross functional /multi-departmental global projects many perspectives, cultures, geographies to involve, manage, influence within company and the vendor's organization.
- Requires constant balancing of client's goals with overall corporate risk management (balancing pressing project needs with prudent risk management) resulting in the need to frequently use mediation, problem solving, communication, and influencing skills.
- Requires ability to understand the motivations of each party in a transaction and translate that into a win-win solution.
Education Required:
- JD degree
- Technical or business undergraduate degree and/or relevant experience
